Entitlement and conditions

  • Paragraph 5(b)Construction intended for sale is a service unless the entire consideration follows the required completion certificate or first occupation, whichever is earlier. Construction includes additions, alterations, replacements and remodelling. Where a government certificate is not required, the specified registered architect, chartered engineer or locally licensed surveyor may certify completion.

Procedure, powers and definitions

  • Paragraph 1Transfer of title in goods is a supply of goods, including an agreement under which title passes later upon payment of the full consideration. Transfer of rights or an undivided share without title is a supply of services.
  • Paragraphs 2 and 3Lease, tenancy, easement or licence to occupy land is a service. Leasing or letting the specified buildings for business or commerce, and treatment or processing of another person’s goods, are also services.
  • Paragraph 4Disposal of business goods so that they cease to be business assets is a supply of goods. Private or non-business use is a service. Cessation of taxable status treats business goods as supplied immediately before cessation, except a going-concern transfer or continuation by a personal representative deemed taxable.
  • Paragraph 5Services also include renting immovable property, temporary transfer or permitted use of intellectual property, the specified software activities, agreed obligations to refrain, tolerate or act, and transfer of the right to use goods for consideration.
  • Paragraph 6The listed composite supplies treated as services are works contracts and supplies of food or drink other than alcoholic liquor for human consumption, for cash, deferred payment or other valuable consideration.
  • Paragraphs 4 and 7The words concerning consideration in paragraph 4 and paragraph 7 were omitted with effect from 1 July 2017. The respective amendments were brought into force on 1 January 2021 and 1 January 2022.
  • Paragraphs 2, 4 and 5The law does not settle occupation without exclusive possession, the reach of the business-or-commerce qualification, whether the cessation deeming rule itself classifies goods or services, or whose occupation and what extent of occupation constitutes first occupation.

Schedule II classifies listed activities or transactions as supplies of goods or services. Transfers of title, rights over goods, land arrangements and business assets receive different treatment. Construction has an exception linked to receipt of the entire consideration after completion or first occupation. On cessation of taxable status, the treatment of business goods also has exceptions for a going concern and continuation by a personal representative.[1]

Unsettled questions

The words of schedule ii do not answer these questions. Where one decides a matter on the file, the answer depends on the position taken on it.

  1. Paragraph 2(a) makes a licence to occupy land a supply of services but does not say what occupation requires. Where a person is given a right to use a defined space on land without exclusive possession, the Schedule does not say whether that is a licence to occupy.
  2. Clause 2(b) reads "any lease or letting out of the building including a commercial, industrial or residential complex for business or commerce". It does not say whether the words for business or commerce qualify every lease or letting out the clause reaches, or only the complexes its inclusive words name, so it does not say what the clause does with a building let for a purpose that is neither.
  3. Paragraph 4(c) deems the goods of a business to be supplied when a person ceases to be a taxable person, but, unlike clauses (a) and (b), it does not say whether that deemed supply is a supply of goods or a supply of services.
  4. Paragraph 5(b) turns on the earlier of the completion certificate and first occupation, and the Schedule defines the first but not the second: it does not say by whom, for what purpose, or of how much of the building, occupation must first occur.
