Procedure, powers and definitions

Section 25 requires persons liable under sections 22 or 24 to apply for registration in each relevant State or Union territory. It sets application periods, provides for separate and voluntary registrations, treats specified registrations and establishments as distinct persons, and prescribes identity requirements. It also permits officer-initiated registration and Unique Identity Numbers, followed by verification, certification and deemed grant.[1]

The provisos qualify the ordinary application and single-registration rules. Sub-section (7) overrides the PAN requirement for non-residents, while sub-section (6D) permits notified exclusions from the Aadhaar requirements. Sub-section (9) overrides the ordinary application rule for Unique Identity Numbers. Section 26(2) overrides verification under sub-section (10), and sub-section (12) links deemed grant to expiry without communicated deficiency.

Section 25 has been in force since 22 June 2017. Separate Special Economic Zone registration and the multiple-place registration proviso took effect from 1 February 2019. Sub-sections (6A) to (6D) and the Aadhaar definition took effect from 1 January 2020. Their notification-dependent requirements and exclusions must be distinguished from the date on which those enabling provisions commenced.

Unsettled questions

The words of section 25 do not answer these questions. Where one decides a matter on the file, the answer depends on the position taken on it.

  1. From what date is a registration "deemed to be invalid" under the second proviso to sub-section (6A): from the date it was allotted, from the date the prescribed time for authentication expired, or from some later date? The proviso deems the registration invalid and fixes no date.
  2. What is a "deficiency" for the purposes of sub-section (12), and how is it established that none was communicated within the prescribed period? The sub-section turns the deemed grant on the communication and defines neither the deficiency nor the proof of its absence.
